KeenAI FleetOS — Customer Terms of Service Operator: KeenAI Technologies LLC, operating KeenAI FleetOS Address: 6440 Flying Cloud Dr, Suite 209, Eden Prairie, MN 55344 Contact: msharif@keenaifleet.com Effective date: 2026-09-21 Version: 2026.1 1. Agreement and authority These Terms are between KeenAI Technologies LLC, operating KeenAI FleetOS ("KeenAI") and the organization accepting them ("Customer"). The individual accepting represents they have authority to bind Customer. The applicable order/checkout terms and any executed data-processing addendum also govern; a data-processing addendum controls conflicting personal-data provisions. The Privacy Policy describes our information practices. Customer's acceptance is not an applicant's screening consent. 2. Service scope KeenAI provides the software functions in Customer's active plan. External screening, messaging, and integrations depend on separate activation, permissions, provider availability, and disclosed fees. A feature shown as unavailable, sandbox, or manual is not a functioning production integration, and we will not charge for an unavailable service represented as completed. KeenAI supports recordkeeping and workflows; it does not guarantee regulatory compliance, audit outcomes, hiring suitability, insurance eligibility, or delivery of every notification. 3. Customer responsibilities Customer is responsible for its employment, qualification, dispatch, maintenance, safety, and regulatory decisions; verifying source records; and acting on deadlines. Customer must review automated classifications, AI suggestions, and extracted dates before relying on them. Application completion or a dashboard indicator does not itself establish driver qualification. Customer must have lawful basis and authority to upload, access, disclose, and request information; provide required notices; obtain applicable authorizations; use screening information only for permitted purposes; and follow adverse-action and dispute procedures. 4. Accounts, license, and restrictions KeenAI grants a limited, nonexclusive, nontransferable right to use the subscribed service for authorized business purposes. Customer may not bypass access controls, access another customer's records, resell access without permission, or reverse engineer nonpublic software except where law expressly permits. KeenAI and its licensors retain their rights in the platform, software, and branding; Customer retains rights in Customer-provided data and branding. 5. Employer directory and verification workflows Public-source employer details may be incomplete or stale; "FMCSA-listed" does not mean a verified HR or safety contact. Automated requests or reminders do not guarantee delivery or response, and a record of attempts does not by itself complete an investigation. Private application data, responses, reports, and notes are not published to the shared directory; customer-supplied contacts are contributed only through an explicit authorized process, and corrections require validation. 6. Trial, subscriptions, and payment A 90-day trial's activation date, end date, included features, and usage limits are displayed before activation. Unless Customer separately accepts a paid order, the trial will not create a paid subscription or authorize a charge. Paid third-party reports and messaging are excluded unless expressly included. Recurring billing applies only after affirmative agreement. At trial expiry without a paid order, the account moves to read-only/export access for 30 days, subject to lawful security restrictions. 7. Privacy, confidentiality, and security Each party protects the other's confidential information using reasonable care. KeenAI maintains reasonable safeguards appropriate to the data processed and fulfills its applicable privacy, security, and notification duties. No system is guaranteed perfectly secure. Processing of Customer-controlled personal information follows applicable written instructions and the data-processing addendum where applicable. 8. Third-party services and AI Third-party services may impose additional terms. AI or automated outputs may contain errors and require human review; Customer must not use them as the sole basis for hiring, rejection, qualification, discipline, or a safety-critical decision. 9. Warranties and disclaimers Subject to express written commitments and rights that cannot lawfully be excluded, the service is supplied "as is" and "as available." To the extent permitted by law, KeenAI disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement, and does not warrant uninterrupted operation or complete external data. 10. Customer indemnity To the extent permitted by law, Customer will defend, indemnify, and hold harmless KeenAI from third-party claims to the extent caused by Customer's unlawful use; lack of required authority or consent for Customer-provided data; unauthorized screening; infringement by Customer-provided material; or Customer's hiring, employment, dispatch, or safety decisions in breach of its legal duties. This does not apply to the extent a claim results from KeenAI's own breach, negligence, fraud, or willful misconduct. 11. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEENAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. SUBJECT TO THE EXCEPTIONS BELOW, KEENAI'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) FEES PAID OR PAYABLE BY CUSTOMER FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. These limits do not apply to fraud, willful misconduct, gross negligence, or liabilities that applicable law prohibits limiting, and do not waive statutory rights of individuals who are not parties to this agreement. This provision is a proposed commercial position; it does not eliminate all liability and has not been certified by an attorney. 12. Suspension, termination, and records KeenAI may proportionately restrict access to address a credible security threat, unlawful activity, material breach, or unpaid fees, with notice and a cure opportunity where practicable. After termination, Customer may export its records for 30 days unless prohibited by law; active content is then deleted within 60 days, and residual backups expire within a further 90 days, except records required for legal obligations, disputes, billing, security, or a valid hold. Customer remains responsible for its own long-term recordkeeping. 13. Governing law and general terms The law of the State of Minnesota governs, excluding conflict-of-law rules and subject to mandatory applicable law. The state courts located in Hennepin County, Minnesota, and the applicable United States federal courts in Minnesota, have jurisdiction, except where law requires otherwise. Material changes will be notified at least 30 days before taking effect, except changes urgently necessary for law or security; material new payment commitments require affirmative agreement. An invalid provision will be limited or severed. Provisions intended to survive termination will survive.
